Job requirements
- Bachelor’s degree in Business, Supply Chain Management, Finance, Legal Studies or a related field; JD, paralegal certification or an advanced degree preferred.
- 6+ years of contract management experience, with at least 3 years working directly in procurement or supply chain contracting, ideally at a hyperscaler, cloud provider, AI lab or AI infrastructure company.
- Substantive knowledge of procurement agreements: NDAs, master supply and master service agreements, statements of work, purchase order terms, order forms, amendments and renewals, including allocation, pricing, lead-time, warranty, indemnity, limitation-of-liability, IP and termination provisions.
- Hands-on experience contracting for data center and HPC hardware, networking and optics, fiber and backbone, or construction, facilities and energy services, including CM/ODM and distributor paper.
- Hands-on experience administering a contract lifecycle management (CLM) tool (workflow design, templates, approval routing, repository and reporting) is required; Ironclad subject-matter expertise, including implementation or certification, is strongly preferred.
- Experience running first-pass review and redlines to a playbook and escalating only non-standard terms to counsel, with a clear sense of when to be flexible and when to hold a position.
- Working knowledge of export controls, sanctions, tariffs and data-security terms as they apply to compute and networking hardware suppliers.
- Strong organizational skills; able to manage 30+ concurrent agreements at different stages, track obligations and renewals, and report status without being asked.
- Clear writing and the ability to explain contract terms to sourcing managers, engineers and executives who are not lawyers; a track record of influencing Sourcing, Legal and Finance without direct authority.
- Pre-employment screening, including background check and substance testing, may be required according to company policies.
- Must be able to reliably commute to the assigned office location on scheduled in-office days under the hybrid work arrangement.
- This role requires willingness to travel domestically and internationally to supplier and vendor sites, data centers, implementation partner locations, and industry events.
- IREN does not yet have an office in the Bay Area (a Santa Clara office is planned); until it opens, this role will work remotely, transitioning to hybrid on-site work once the office is established.
Job responsibilities
- Support the end-to-end contracting process for supply chain agreements: run intake, triage and prioritization, track status, and publish status to Sourcing and Legal weekly.
- Run the NDA process for Technical Sourcing and Hardware Procurement: coordinate with Legal and liaise on requirements between IREN Legal, Supply Chain, and suppliers.
- Conduct first-pass review and redlines of supplier agreements (MSAs, supply agreements, SOWs, order forms, amendments, renewals) against supply chain requirements: allocation and capacity commitments, pricing and price-adjustment mechanics, lead times and delivery, warranty and RMA, spares and end-of-life, change control, audit and reporting.
- Act as Supply Chain’s subject matter expert in Ironclad CLM: design and maintain Supply Chain’s workflows, templates, approval routing and reporting in the tool.
- Develop and maintain the Supply Chain contracting playbook and standard templates (NDA, MSA, supply agreement, statement of work, order form, amendment) with Legal.
- Translate supply chain requirements into contract terms with the sourcing manager before negotiation starts, and sit in supplier negotiations on the largest awards to hold the contractual positions while the sourcing manager holds the commercial ones.
- Track obligations, renewals and expirations across the agreement portfolio and flag upcoming dates to Technical Sourcing and Legal ahead of time.
- Lead contract heat-map assessments (identifying which agreements carry the most exposure on allocation, pricing, warranty, and termination terms), in coordination with Supply Chain Risk and Technical Sourcing.
- Define the contract-term data Supply Chain needs captured in Ironclad and Master Data Management (pricing, lead times, warranty terms, renewal terms, renewal dates) and keep it accurate and current.
- Measure, report, and improve Supply Chain’s contracting cycle time.
