Summary:

We are looking for a highly experienced, hands-on, global SaaS and software transactions attorney to join our legal team. With frequent, substantive senior executive engagement, this position will serve as the primary legal business partner to the strategic and enterprise account sales teams. We operate in a fast-paced, high-volume cybersecurity technology environment. Our commercial legal team is nimble, collaborative, positive, proactive, and results oriented. We expect the same from you. You must confidently manage internal and external expectations, relationships, and customer negotiations, and deliver advice and work product grounded in a sound understanding of Delinea’s business and operations. You must have highly developed people skills. You must also be comfortable with rapid growth and navigating the changes and ambiguity that growth brings, employing top-notch problem-solving skills and expertise balancing pragmatic solutions with appropriate legal and operational risk management. This is an opportunity to positively influence and effect substantial revenue-generating outcomes in alignment with legal team guidelines and goals, and Delinea’s strategic objectives.

This position reports to the VP & AGC, Commercial.

What You'll Do:

· Partner with Delinea business teams (including senior executives) and external counsel as needed, to artfully negotiate and draft, and strategically counsel stakeholders on, a wide range of global commercial agreements with a focus on sales and other go-to-market initiatives
· Research and advise on global commercial transaction-related privacy and regulatory matters
· Effectively collaborate across multiple cross-functional teams (including building enduring relationships with members of those teams) to resolve issues and incorporate input and recommendations into contracts and related documentation
· Prepare and improve template agreements to efficiently meet business objectives in a risk-balanced manner, focusing on clarity, practicality, and plain-English drafting
· Support the further development of Delinea’s contracting processes and procedures
· Support M&A activities
· Develop and present training to various personnel
· Drive awareness of legal compliance and risk management guidelines
· Other duties and assignments to support internal stakeholders and enhance and improve processes for execution of the company's strategies
· Some travel may be required for transactions and for team and company meetings

What You'll Bring:

· Juris doctorate from an accredited law school; admitted to at least one state bar in the U.S.
· 7-10 years overall legal experience in business and transactional law, preferably including at a national or regional law firm, with at least 3 years in an in-house commercial counsel role with a software or technology-oriented company and a proven track record of growth and professional excellence
· Significant experience reviewing, drafting and negotiating complex commercial contracts, including software licenses, SaaS, professional services, distributor and partner/alliance agreements, and vendor/supplier contracts
· Solid working knowledge of legal issues related to global commercial transactions, including IP protection, international trade, data privacy and security and commercial disputes
· Management experience and demonstrated effectiveness collaborating with internal stakeholders with flexibility and respect
· Strategic thinker with ability to work independently through issues, evaluate risks and choices and make sound judgment even in the face of uncertainty
· Ability to devise business-friendly, pragmatic solutions that reduce risk and enhance value
· Driven self-starter with a strong ownership mentality, constantly driving work to completion and persistently and creatively identifying and resolving issues
· Ability to prioritize and work with a sense of urgency; works with agility and is able to pivot seamlessly as needed; thrives in a fast-paced environment, delivering work quickly, on time and proficiently to internal clients
· Strongly collaborative spirit with a high touch customer service approach to working with internal stakeholders and delivering on customer needs
