Support attorneys on corporate transactions by drafting and proofreading documents, managing due diligence and virtual data rooms, coordinating signatures and filings, preparing closing materials, conducting factual research, and maintaining precedents and capital markets tables.

Run conflict-of-interest searches and prepare conflict reports using iManage Conflicts Management. Review new matter requests, perform corporate research to identify related parties, maintain the conflicts database, collaborate with recruiting/HR/OGC, assist with documentation, special projects, and provide on-call coverage as assigned.

Build and audit cap tables, liquidation waterfalls, payout and allocation models, and compliance analyses (e.g., 280G, 409A). Validate third-party deliverables, advise attorneys and clients on transaction mechanics, support business development, and drive model automation and process improvements.

Lead and execute public relations and external/internal communications for the firm’s California offices. Manage media relations, draft press releases and website content, cultivate journalist relationships, coach lawyers on messaging, and support brand-building and reporting efforts.
